Assignment Title: PROVISION OF TRANSACTIONAL ADVISOR CONSULTANCY SERVICES FOR HENDRINA RE-PURPOSING AND RE-POWERING PROJECT

Eskom Holdings SOC Ltd, Government of South Africa Utility Company, has received financing from the World Bank toward the cost of the Eskom Just Energy Transition Projects (EJET - 177398) and intends to apply part of the proceeds for the above-mentioned consulting services.

The consulting services (“the Services”) include:

Conducting Pre-feasibility assessments, detailed Feasibility studies and Procurement activities on Hendrina, to short list suitable candidates for a Private Public Partnership (PPP) structure of financing and delivering the Re-purposing and Re-powering of Hendrina. Based on the outcome of the review and studies, to subsequently provide advisory support to Eskom on the most suitable PPP structure and subsequently to provide procurement and advisory support to Eskom in the structuring, negotiation, and execution of the proposed PPP solution. The project will be for a duration of about 30 months.

The activities to be undertaken for this assignment are divided into three phases:

Phase 1: Pre-feasibility assessment with identification and shortlisting of PPP options

Phase 2: PPP feasibility studies

Phase 3: PPP procurement activities

Eskom Holdings SOC Ltd now invites eligible consulting firms (“Consultants”) to indicate their interest in providing the Services. Interested Consultants should provide information demonstrating that they have the required qualifications and relevant experience to perform the Services. The shortlisting criteria are:

• Eligibility: The consultant must submit copies of certificates of incorporation or registration of the consulting firm, company ownership (Directors and Shareholders) of the company. Relevance of applicant firms’ core business area to this assignment and years in business, relevant experience, technical and managerial capability of the firm are some of criteria that will be applied for short listing.

• Previous Assignments’ Experience: The Consultant must have completed in the past 10-15 years at least 3 or more similar assignments of providing Transactional Advisory Services for suitable PPP solution under the Renewable Energy or similar Sector. A suitable Consultant must have proven experience of similar assignments with a similar record of scope, complexity, and value. Previous or current assignments on projects of similar scope with similar characteristics for the last 10-15 years clearly indicating the role played by the consultant should be documented as part of the submission. Consultants may associate with other firms in the form of a joint venture or a sub-consultancy to enhance their qualifications.

Consulting firms are encouraged to associate with local South African consulting firms. Associations may take the form of either a joint venture (whereby firms will be severally and jointly liable for the assignment and in which case all joint venture partners are required to demonstrate competence in the core areas of the assignment and the members competence and experience will considered for shortlisting) or may associate in the form of sub-consultancy (in the case of sub-consulting association, competence and experience records of the sub-consultants will not be considered for shortlisting).

• Applicant firm’s corporate experience may include: Demonstrated similar advisory experiences in Infrastructure Finance or Project Finance, Project Planning and Management, PPP Procurement and structuring management. Infrastructure Finance or Project Finance experiences with experience in PPP Financial analysis and modelling of PPP transaction structuring or deal advisory services to public and private sector clients on large energy projects and PPP documentation negotiation or process management experience from technical, Legal and financial structuring perspectives.

Key Experts CVs will not be evaluated at the shortlisting stage.

The attention of interested Consultants is drawn to Section III, paragraphs, 3.14, 3.16, and 3.17 of the World Bank’s “Procurement Regulations for IPF Borrowers” November 2020, setting forth the World Bank’s policy on conflict of interest.

A Consultant will be selected in accordance with the QCBS method set out in the Procurement Regulations.
