The Lead Consultant must demonstrate the capability to oversee the project effectively. • A formal agreement must be established between the consortium members, clearly outlining the roles and responsibilities of each Consultant. The Government of Botswana is currently preparing Requests for Proposals (RFPs) for thermal solar, photovoltaic, and wind power projects on several pre-selected sites in Botswana. The Projects and Energy Development Unit (PEDU), under the Ministry of Minerals and Energy (the Client), is tasked with preparing these RFPs and is being advised on site selection by a feasibility consultant who proposes sites based on a multi-criteria selection process. This site selection process includes the utilization of preliminary solar and wind resource data from the Global Solar Atlas and the Global Wind Atlas, alongside transmission grid data, land use, land ownership, and other criteria, including a preliminary economic and social impact screening The site studies will be done for (i) 100 MW solar PV; (ii) 100 MW wind power; and BESS in Letlhakane. The coordinates of the sites to be explored for each of the projects will be confirmed by the Client before the start of the studies and are also indicated in the feasibility study. • SCOPE OF WORK To select the optimal site and commence pre-development activities on the site, the client is seeking for a qualified and experienced consulting firm to undertake site studies for the solar PV, wind and BESS installations. The consultant is expected to prepare a topographic survey, geotechnical survey, and hydrology study at the location of the proposed PV plant, wind farm and BESS, subject to the final location. In addition to the three studies, the consultant will also undertake the Route Survey for the 100MW Wind. The areas to be surveyed are described in the provided Terms of Reference The consultant shall also provide a capacity-building seminar on how to understand and use the topographic resource reports when their first versions are issued. • QUALIFICATIONS PEDU invites eligible consulting firms/consortiums ("consultants") to indicate their interest in providing the services. REQUEST FOR EXPRESSION OF INTEREST (CONSULTANCY SERVICES – FIRMS SELECTION) Assignment Title: Consultancy Service for Preparation of Environmental and Social Assessments for a Solar Photovoltaic, Wind Farm and a Battery Energy Storage System Installation in Botswana Reference No.: BW-MME-388381-CS-CQS • Background The Government of Botswana (GoB) is currently preparing the following projects as per the Integrated Resource Plan: (i) 100 MW solar PV, (ii) 100 MW wind and (iii) 50 MW battery storage energy systems (BESS) The GoB has received a grant funding from the Energy Sector Management Assistance Program (ESMAP) of the World Bank to undertake a number of preparatory studies and transaction advisory services to support the development of these projects. The Projects Energy Development Unit (PEDU) under the Ministry of Minerals and Energy (MME), is the Project Implementing Unit (PIU) of the grant and will be responsible for overseeing progress of the project activities, outcomes, and results (Client). The present assignment aims to hire a consulting firm to prepare a full Environmental and Social Impact Assessments (ESIAs) for each of the solar PV and wind, and an Abbreviated ESIA for the BESS project (so three distinct deliverables). The Consultant shall ensure that it performs all necessary works and services, in accordance with this TOR and those set out in the World Bank ESF and Botswana Environmental Assessment Regulations (2012). 2. Scope of Work The Assignment is comprised of the following tasks: a) Scoping Study - The Consultant will prepare a project brief, in the prescribed format, as required under national law and submit this to the Department of Environmental Affairs (DEA) for consideration. The consultant shall thereafter carry out a scoping study which meets the requirements of the World Bank ESF, current internationally accepted standards of data collection, reporting and analysis and in compliance with the requirements of the national law. b) Stakeholder Engagement - The consultant will, in cooperation with the PIU, undertake planning and implementation of stakeholder engagement activities to inform the ESIA (including Scoping) process and disclosure outcomes. c) Preparation of the ESIA and the Report - The Consultant will carry out the necessary studies and processes culminating in a detailed ESIA Report including an ESMP (Environmental and Social Management Plan) report and supporting documents, including but not limited to Terms of References for the preparation of a Resettlement Action Plan/ Livelihood Restoration Plan, Indigenous People/ Sub-Saharan African Historically Under deserved Traditional Local Communities (IP/SSAHUTLC) and Biodiversity Management Plan, if identified during the scoping report as required. Terms of References for the preparation of a Labor Management Plan and Occupational Health and Safety Plan consistent with the World Bank Environmental and Social Standard (ESS) 2, should be prepared as part of the ESMP. d) Environmental and Social Management Plan (ESMP) - Based on the results of the ESIA, the Consultant shall prepare an Environmental and Social Management Plan (ESMP), consistent with the requirements and format of the Environmental Assessment Regulations (2012) and the indicative outline that compiles the impacts and required mitigation measures as identified in the ESIA, as well as the monitoring requirements to ensure that the identified measures are implemented and any unforeseen impact is identified and handled aligned with the ESMP. PEDU invites eligible consulting firms/Consortium (‘’Consultants’’) to indicate their interest in providing the Services. Interested Consultants should provide information demonstrating that they have the required qualifications and relevant experience to perform the Services. Scope of Work To select the optimal site and commence pre-development activities on the site, the Client – and ultimately the bidders in the RFPs – require fully bankable solar and wind resource data from a qualified Consultant with prior experience in providing such data for successful projects. The solar and wind measurement campaign is part of a series of site measurement campaigns undertaken in parallel that include geotechnical investigations, topographical surveys, logistical surveys, hydrological studies, and environmental and social scoping for each potential site. In addition, the collected wind and solar data will be used to validate the Global Wind Atlas and Global Solar Atlas for the selected area of Botswana. The Government of Botswana has received financing from the World Bank to support its efforts to operationalise the IRP. Part of this grant will support the Solar and Wind Measurement Campaign in Botswana. The present assignment aims to hire a consultant to provide high quality solar and wind measurement data from a selected site near Letlhakane, covering two years to reduce the resource risk. The Consultant shall be responsible for the planning, commissioning, implementation and decommissioning of the solar and wind measurement campaign. The Consultant shall measure wind resources using LIDAR and solar resources using a solar measurement station on the selected wind farm site in Letlhakane suitable for a wind farm with a rated power of approximately 100-110 MW as well as for a solar farm of about 100 MW in the vicinity of the wind farm. After 6 months of LIDAR wind measurements and all other site investigations by the Client, the Consultant shall optionally: 1) Install a 120m meteorology mast near the LIDAR on the wind farm site in order to improve the bankability of the wind project. The mast shall be measuring for 12 months with optional post-calibration of anemometers 2) After the campaign the client may optionally elect to commission a site calibration using the on-site LIDAR, by subsequently moving the LIDAR to another location on the site, based on advice from the Consultant. 3) The Consultant shall also provide a capacity building seminar on how to understand and use the solar and wind resource reports when their first versions are issued. 3. Qualifications PEDU invites eligible consulting firms/Consortium (‘’Consultants’’) to indicate their interest in providing the Services. Interested Consultants should provide information demonstrating that they have the required qualifications and relevant experience to perform the Services. REQUEST FOR EXPRESSION OF INTEREST (CONSULTANCY SERVICES – FIRMS SELECTION) Assignment Title: Consultancy Service for the Engineering, Procurement and Legal professional services for the procurement of the Botswana Battery Energy Storage Systems (BESS) project Reference No.: BW-MME-388165-CS-QCBS BW-MME-388165-CS-QCBS • Background The Government of Botswana (GoB) is committed to increase its share of renewable energy. Botswana’s Vision 2036 sets a goal to reach a share of 50 percent of renewable energy (RE) in its power mix by 2036. BPC is planning to operationalize the IRP by launching the country’s first competitively held tenders for Battery Energy Storage Systems (BESS). BPC contemplates to commission the first 50MW BESS by mid-2025. The Government of Botswana has received financing from the World Bank to support its efforts to operationalise the IRP. Part of this grant will support transaction advisors for procurement of RE Independent Power Producer (IPP) projects and Battery Energy Storage Systems (BESS) EPC projects. The present assignment aims to hire a consortium/firm of consultants (the Consultant) to support BPC and the GoB in structuring and tendering bankable BESS projects under an Engineering, Procurement and Construct (EPC) contracting strategy. In preparation for the procurement, BPC is in the process of the feasibility and site studies as well as environmental and social impact assessment (ESIA) for the selected site(s). The mandate for consultancy professional services would assist BPC in preparing in parallel the procurement packages needed for it to successfully launch the procurement of 2X25 MW BESS projects (the Projects). 2. Scope of Work The Consultancy procurement support services covers four main outputs: a. Technical consultancy services: support BPC to (i) define the technical criteria of the Request for Qualification (RfQ), (ii) draft the Minimum Technical Specifications and testing conditions of the Request for Proposal (RfP) based on the conclusions of the Feasibility Study, (iii) evaluate technical proposals, (iv) provide technical inputs to Project Documents, (v) support the negotiations with the Preferred Bidders on the technical side, (vi) propose the inclusion of socio-economic and gender benefits as evaluation criteria in the procurement process, and (vii) more generally address technical questions/comments up to financial close of the Projects. During construction of the project, BPC is looking for a Consulting Engineer (CE) to act on behalf of BPC to ensure that the Project is designed, constructed, commissioned, and handed over in accordance with all applicable requirements, regulations, as well as industry best practices. The CE is also expected to provide post-construction operational monitoring services to ensure optimal performance of the facility, guaranteeing it operates in accordance with our expectations. b. Legal consultancy services: support the Client to (i) draft the RfP and Projects’ Agreements, (ii) evaluate compliance of proposals submitted by Bidders (including bidders’ legal status as applicable), (iii) provide legal inputs throughout the bidding process, (iv) provide legal inputs to Project Documents and legal review of all documents, (v) support the negotiations with the Preferred Bidders on the legal side, and (v) more generally address legal questions/comments up to financial close of the Projects; c. Procurement consultancy services: support BPC to (i) lead and coordinate the bidding process as a whole, (ii) compile the PPSD (as defined below) as per World bank regulations, (iii) advise on procurement matters, (iv) lead and run the bidding procurement process; (iv) evaluate the bids from a financial/global perspective, (v) support the negotiations with the Preferred Bidders on the financial/global technical side, and (v) more generally address financial/cross-cutting questions/comments up to financial close of the Projects. d. Capacity building: knowledge and expertise transfer to BPC on the development of the Projects. This fourth output area will be transversal to the three areas listed above, with the objective to increase the capacity within BPC to launch bankable and sustainable tenders on BESS. Scope of Work The transaction advisory support covers four main areas: A. Financial advisory: support to the Client to: (i) Lead and coordinate the bidding process as a whole; (ii)Manage the other consultants if applicable; (iii)Advise on bankability matters; (iv) Lead and run financial modelling to inform the decision-making process; ( v)Evaluate the bids from a financial/global perspective; (vi)Support the negotiations with the Preferred Bidders on the financial/global technical side; and (vii)More generally address financial/cross-cutting questions/comments up to financial close of the RE projects. D. Capacity building: knowledge and expertise transfer to PEDU on the development of renewable projects (including solar – PV and CSP – and wind technologies). This fourth area will be transversal to the three areas listed above, with the objective to increase the capacity within PEDU to launch bankable and sustainable tenders. PEDU invites eligible consulting firms/Consortium (‘’Consultants’’) to indicate their interest in providing the Services. Interested Consultants should provide information demonstrating that they have the required qualifications and relevant experience to perform the Services. The shortlisting criteria are: a) Core Business: minimum 5 years' experience in providing Transactional Advisory Services for renewable energy projects b) Demonstrate experience of having satisfactorily completed at least 4 assignments, (2) wind and (2) solar of similar magnitude and complexity in the past five years for both solar and wind that have reached financial close, c) Demonstrate experience of having satisfactorily completed 500MW of wind and solar projects from which at least 1 solar of 50 MW and 1 wind of 50 MW d) Demonstrate experience of having supported tender preparation and implementation of at least three (3) utility-scale renewable projects done by private companies under IPP scheme or any other auction, with at least one (1) of solar and one (1) of onshore wind in Sub- Saharan Africa e) The consultant shall be illegible to work with International Financial Institutions f) The consultant shall not be conflicted The attention of interested Consultants is drawn to paragraph 3.14 to 3.17 of the World Bank’s Procurement Regulations for IPF Borrowers dated July 2016, revised in November 2017, August 2018, November 2020 and September 2023 setting forth the World Bank’s Policy on Conflict of Interest.
