The TOR address the requirement for external audit of financial statements of the PAU and the SAPP Coordination Centre (SAPP CC) as the Project of Implementing Agency for three financial years starting from 2019/2020 and ending 2021/2022, with the financial year commencing on 1 April and ending 31 March. Objectives of consultancy assignment The objective of the audit of the Project Financial Statements (PFSs) is to enable the auditor to express a professional opinion(s) on the financial position of the project at the end of each financial year, and on funds received and expenditures incurred for the relevant accounting period. The project books of accounts provide the basis for preparation of the PFSs by the project implementing agency and are established to reflect the financial transactions in respect of the project. The implementing agency maintains adequate internal controls and supporting documentation for transactions. Required Qualifications and Experience The audit firm must be a Chartered Accountant and registered with a recognized accountancy professional body. The firm must have at least five years of relevant and diversified professional experience in auditing with sizeable portfolio and experience in the audit of donor funded project, development sector and NGOs. The auditor must employ adequate staff with appropriate professional qualifications and suitable experience with International Standard of Auditing including experience in auditing the accounts of entities comparable in size and complexity to SAPP. The audit manager must have at least 10 years’ experience in auditing and with a sound knowledge of donor-financed projects. In addition, he/she should be a member of a recognized accountancy professional body. It is highly desirable that the auditor becomes familiar with the World Bank’s Guidelines on Annual Financial Reporting for World Bank-Financed Activities, June 30, 2003, which summarizes the World Bank’s financial reporting and auditing requirements. The auditor should be familiar with World Bank Procurement Guidelines, which can be obtained from the project implementing agency. Develop Load forecast methodology for SAPP

The Program Development Objective is “to facilitate the preparation of priority regional energy projects in the Southern African Power Pool region”. Objectives of consultancy assignment The objective of the study is to benchmark and evaluate the load forecasting methodologies and approaches being used by SAPP utilities. The terms of reference are aimed at assessing the suitability of the recommended load forecasting methodology in individual countries and the region in general. A Task Team has been setup to oversee this assignment. One of the objectives of Task Team will be to benchmark and evaluate the different load forecasting methodologies that are being used in the various countries. The Consultant will recommend a common approach that will be used as a minimum standard in developing load forecasting methodologies. Required Qualifications and Experience The Consultant shall be a qualified, internationally recognized firm with at least 10 years of experience in power sector consulting services and a proven track record of specific experience on power system interconnections and load forecasting. This shall involve at least 3 similar assignments executed/under execution by the firm. The Consultant shall have experience developing load forecasts, and demand and supply balance analysis. The firm should be able to field multinational teams, covering at a minimum, areas such as: Team Leader with broad power sector experience including power system planning expertise; Load Forecasting Expert and Economist / Econometrist. SAPP’s primary aim is to provide a reliable and economical electricity supply to the consumers of each of the seventeen SAPP utilities and Independent Power Producers (IPPs), consistent with the reasonable utilisation of natural resources and effects on the environment, and a stable interconnected electrical system. The SAPP Coordination Centre (SAPP-CC) requested financial support from cooperating development partners to secure project preparation funds, resulting in a grant from the World Bank (IDA) to set up a Project Advisory Unit (PAU) that would accelerate the implementation of projects in the region. The objective of the acceleration programme is “to be accountable for the preparation and implementation of selected and agreed priority regional electricity projects in the Southern African Power Pool region”. The Project Advisory Unit office requires an Accounts Officer to be based in Harare, Zimbabwe. Daily duties will include amongst others the following: • Capturing of all accounting data in Pastel Evolution Accounting System • Prepare and periodically review and update the financial management sections of the Project Implementation Manual with a view to making it consistent with the financial management system and financial management software of SAPP CC. • Maintain adequate financial management systems at the PAU. • Prepare the PAU’s annual budget and cash forecast by quarter based on the work plan and procurement plan. • Monitor the implementation of the PAU budget. • Review all monthly disbursement requests submitted by the various Project agencies and ensure propriety and eligibility. • Prepare and process e-submission of Withdrawal Application to the World Bank and follow-up as appropriate with SAPP CC and the World Bank. • Manage the PAU designated account (DA), in compliance with the financial covenants of the PAU and the World Bank financial management guidelines and maintain a Special Account as authorised by the SAPP CC and ensure the timely completion of bank reconciliation statements on a monthly basis. • Ensure that all payment documentations are in order and in accordance with any special requirements of the World Bank. • Effect payments to contractors and suppliers of the PAU upon authorisation by Management and verification of the availability of funds. • Monitor utilisation of payments made (through desk and on-site reviews) and report the conclusion of the review to the PAU Transaction Advisor. • Maintain up-to-date accounting records and ledgers and record all financial transactions for all activities relating to the PAU. • Prepare appropriate statements of expenditure, direct payments and special payment requests and applications for replenishment of accounts per World Bank guidelines for review, approval and submission to the SAPP CC. • Update the ledger monthly reports • Prepare the quarterly Interim Financial Reports (IFRs) for Cooperating partners. • Preparation of monthly reconciliations for grants, debtors and suppliers. • Preparation of monthly management accounts. • Preparation of monthly reconciliations of the asset register • Preparation of monthly reconciliations for the deferred income accounts versus the bank account balances for all the cooperating partners. (AfDB, DBSA and World Bank) • Prepare annual financial statements in a satisfactory and timely manner. • Ensure that a proper internal control system is in place to achieve accountability at all levels. • Assisting staff with travel claims and advance reconciliations. • Filing and record keeping of all Financial information in compliance with SAPP requirements. • Liaise with the SAPP CC Finance Department with respect to financial templates, processes, procedures, etc. • Liaising with both Internal and External Auditors. Qualifications and Experience The Accounts Officer should be in possession of an Accounting qualification with at least three (3) years working experience doing a similar job. Previous experience should include working as an Accounts officer or similar position in a small to medium sized company and must have exposure to Pastel Evolution accounting software and Microsoft Office package. Competence in reading and writing in English is mandatory. Work experience in an International Company will be an added advantage. Communication Advisor

BACKGROUND Formation of SAPP The Southern African Power Pool was established in August 1995 when member governments of the Southern African Development Community (SADC), signed an Inter-Governmental Memorandum of Understanding (IGMOU) for the formation of an electricity power pool in the region. SAPP aims to provide a reliable and economical electricity supply to consumers in each of the SAPP member utilities and Independent Power Producers (IPPs), consistent with the reasonable utilisation of natural resources with minimum impacts on the environment and through a stable interconnected electrical system. This is done through co-ordination and co-operation in the planning and operations of the various power systems to minimise costs while maintaining reliability. SAPP operates a regional competitive market and facilitates power trading for its member utilities in the SADC region. SAPP also provides the operating guidelines for the market to be operated in a fair and transparent manner. In addition, SAPP is responsible for the planning and realisation of regional priority projects by advancing project preparation through technical, economic and financial studies to a stage of project bankability. This ensures that the regional power supply and demand balance is addressed in a sustainable and environmentally sound manner. SAPP Governing Documents SAPP is governed by four base agreements: The Inter-Governmental Memorandum of Understanding (IGMOU), which enabled the establishment of SAPP; The Inter-Utility Memorandum of Understanding (IUMOU), which established the SAPP basic management and operating principles; The Agreement Between Operating Members (ABOM), which established the specific rules of operation and pricing; and The Operating Guidelines (OG), which provide standards and operating guidelines. The first document has precedence over the second document; the second document over the third document and the third document over the fourth document. SAPP Management Structure Currently, SAPP is an association of twelve member countries represented by their respective national power utilities organized through SADC. The SAPP has four technical sub-committees, namely: the Operating Sub-Committee, the Planning Sub-Committee, Markets and the Environmental Sub-Committee under a Management Committee which in turn reports to the Executive Committee. The Executive Committee comprises of Chief Executive Officers (CEOs) of the SADC Power Utilities. The SAPP coordinates the planning and operation of the electric power system among member utilities and provides a forum for regional solutions to electric energy problems. SAPP is now seeking a senior communication professional to lead the design and implementation of a SAPP Communication Strategy. OBJECTIVES OF ASSIGNMENT The objectives of this 2-year assignment are to develop, build SAPP management support for, and implement a comprehensive Communication Strategy that will: • Provide clear objectives and strategic guidance for SAPP’s outreach activities over an 18 to 24-month period • Achieve coordination and prioritization of the communications plans of SAPP in the power sector and SADC; • Work to build public and internal consensus around specific policies, plans and projects so that they can be duly implemented; • Foster an environment conducive for private sector participation in energy infrastructure through providing information and engaging the relevant stakeholders in the sector; • Help the SAPP articulate its vision for the power sector including the complementarity of roles between the governments and the private sector. • Ensure the visibility of SAPP and work to convey SAPP as a necessary organization for solving the energy challenges of Southern Africa. SCOPE OF WORK The scope of work for this assignment will involve the following main activities and will be monitoring closely according to, but not limited to, the metrics of success that are included below: • Assess the existing communication structures, products, and practices in SAPP and map the different stakeholders affecting or affected by the operations of SAPP. This work is expected to take 1-2 months and will be described in a Situation Analysis section of the Communication Strategy. • Conduct research (any combination of opinion surveys, in-depth interviews, and/or focus group discussions) and undertake a communication needs assessment amongst SAPP members and SADC member countries. This work is expected to take 1-2 months and will be described in a Situation Analysis section of the Communication Strategy. • Use the research phase to improve SAPP understanding of stakeholders’ views, their levels of knowledge and attitudes about the energy sector and environment-related issues, as well as their interests and level of engagement with SAPP. This work will require an ability to analyse the findings of the research phase and use those findings to (1) build SAPP management support for a diligent Communication Strategy and (2) determine which messages and activities will have the highest impact for SAPP’s goals. • Analyse the communication environment including media, electronic avenues, technology, formal and informal means of interaction. This work is expected to occur throughout the assignment and may include a weekly or bi-weekly media monitoring report in the first several months to sensitise SAPP management to the strategic role communication can play in the organization. This work also includes a Relationship Management focus from the Consultant. • Draft, present, receive management approval of, and then implement a practical Communication Strategy including Stakeholder Engagement Plan that will address the communication needs of SAPP and effectively engage the key relevant stakeholders at national, regional and international levels. This work is expected to take 3-4 months and will require the ability to demonstrate a clear link between the research phase and the priority activities/messages of the Communication Strategy. SAPP expects the consultant to take responsibility for staying on message and following the Communication Strategy Plan, while remaining dynamic and opportunistic if circumstances require an adaptation to the Plan. • Develop a timeline and plan for implementing the activities identified and articulated in the Communication Strategy. • Identify linkages and areas of collaboration with other ongoing and relevant projects and programs of governments, and other national, regional and international development partners. This work will occur throughout the assignment and will require strong Relationship Management skills. • Identify the challenges and possible hurdles that would likely affect the various key stakeholders as the new Communication Strategy is implemented. This work will be ongoing and will require the ability to understand SAPP’s business challenges and goals. • Consolidate the required communication material to set out a clear message in support of the Communication Strategy including: briefing notes, website stories, talking points, power point presentations, adverts, banners, flyers, FAQs, etc…. This will require the ability to write quickly and synthesize complex information into accessible formats. SAPP management will expect some of the first written products to be submitted by the Advisor within the first few weeks of this assignment. • Improve and make use of the Annual Reports, website and other communication products. A plan for “repurposing” some of the pre-approved communication products and publicly available reports will be expected within the first few weeks of this assignment. • Coordinate translation of communication materials into languages that are used in the SADC region to reach all stakeholders, i.e. English, French and Portuguese. • Provide capacity building and training that will assist to build institutional capacity of relevant stakeholders, i.e. SAPP CC staff, SAPP member utilities, market participants, SADC Energy Sector institutions, SADC Energy Sector Officials, Regional Energy Regulators Association (RERA), SADC Centre for Renewable Energy and Energy Efficiency (SACREEE), other relevant government departments, regulators, and energy sector proponents, etc… This work will be ongoing and should be tailored to meet the needs of SAPP constituents. Objectives of consultancy assignment This assignment is associated with Zambia – Tanzania Interconnector Project (ZTIP) includes the following objectives; • Review the preferred line route provided by ZESCO and the AECOM study reports and recommend any changes to the same. Project history In 2014, the Governments of Zambia, Kenya and Tanzania signed a tripartite IGMoU to carry out feasibility studies and implement the Zambia – Tanzania – Kenya (ZTK) Interconnector. Consequently, complete Techno-economic feasibility and ESIA studies were carried out by AECOM and WSP respectively in the period 2014 to 2017 under the co-ordination of NELSAP, and Office for Promoting Private Power Investment (OPPPI) Zambia. The key project preparation milestones are illustrated in chronological order below: These ZTK studies were financed from the grant provided by the Government of Norway, the European Union and COMESA. In 2016, to complement then ongoing AECOM and WSP studies, a complementary study was also carried out by RICARDO to specifically assess the wheeling arrangements, possible trade volumes and mechanisms, legal requirements and technical impact assessments that were not fully covered under the AECOM study ToRs. Furthermore, during the AECOM study implementation, ZESCO committed some transmission projects to enhance the power transfer capacity to the northern part of Zambia, taking into consideration the ZTK preliminary studies recommendations. With the aforementioned developments, the AECOM study therefore recommended that the ZTK is to be developed in two phases on the Zambian section: Phase one for the ZESCO committed projects, which scope involves establishment of a single 330kV line from Pensulo through Mpika, Kasama and Nakonde to the Tanzania border and establishment of a second single 330kV line from Kabwe to Pensulo; and Phase two to ensure an n-1 500MW transfer capacity, which involves establishment of a second 330kV line from Pensulo through Mpika, Kasama to Nakonde. Following the completion of the ZTK studies, the Southern African Power Pool (SAPP) and the Eastern Africa Power Pool (EAPP) engaged AURECON to carry out an operationalization study in 2018 under the SAPP Accelerating Regional Transformational Energy Projects (SAPP AREP) Program, funded by the World Bank. The AURECON study took a wide area view of the two power pools but focused on the details around the countries directly involved in coupling the two pools, particularly Zambia and Tanzania. The AECOM, RICARDO and AURECON studies recommended that voltage support equipment is required on the ZTK transmission corridor between Pensulo and Nakonde to ensure reliable and secure power transfer through the Zambian section of the corridor and that a further study is required to optimise the DVSDs locations and sizes. The studies further recommended that a review of the Power System Stabilizer settings among SAPP/EAPP member countries is required. The AECOM Study recommended that with voltage support in the Pensulo – Nakonde Zambian section of the ZTK, a transfer capacity of about 530 MW and 458 MW for the Tanzania to Zambia and Zambia to Tanzania respectively were possible. Objectives of consultancy assignment Currently SAPP does not provide for a competitive trading platform for two hours before delivery hour starts and during delivery hour. The Intra Day Market (IDM), which is the current existing competitive trading platform operating closest to delivery hour, closes two hours before delivery hour starts. At any given time, maintaining power system stability requires a permanent balance between total power generation and total demand (Generation G = Consumption C). Power generators are synchronous machines which can only be operated together, within an interconnected grid, at a fixed common frequency (frequency = a set-point of 50 Hz for the SAPP). When there is an imbalance between generation and consumption, the system frequency varies. The system frequency is a direct indicator of the active power balance. Insufficient, bad or no balancing power management put system stability at risk and can lead to equipment failures, load shedding and even system black-out. The maintenance of frequency stability is one of the preconditions of the system safety and energy supply security. The SAPP in 2018 agreed to develop the Balancing Market (BM) trading platform in addition to the markets already in existence. The objective of a BM development for SAPP is to look at all options of available supply and demand and utilise them in a competitive manner in order to ensure that the system is in balance all the time. SAPP is therefore seeking a consultant to explore all options of the BM and in consultation with SAPP, recommend one that best suits SAPP current and prospective power markets. Pros and cons of the different identified options shall be identified. The SAPP has currently electricity generation from thermal (coal), hydropower, nuclear and gas. In terms of the generation mix, thermal (coal) tops the list with 62%, hydropower 21%, distillate 4.4%, nuclear 3%, Wind 3%, solar 3.9%, gas 1.5% and biomass and landfill at 0.1%. This situation is not sustainable since coal fired power stations produce green house gases like carbon dioxide which result in climate change. The SAPP has realised the need to increase the contribution of renewable energy in line with general global thinking of reducing the carbon foot-print. Renewable Energy is sustainable while little or no waste is produced such as CO2 and other chemical pollutants. Increasing renewable energy’s contribution will also result in the increase in primary energy diversification and increase in the security of supply. The increased penetration of renewables necessitates that SAPP analyses the increasing impact of the renewables. Objectives of the consultancy assignment The study is separated into two independent parts. This EOI is for the first part which is defined as a study focused on the techno-economic and regulatory issues at a high level (i.e. without getting into extensive modelling). The objective of the study is to support the SAPP to prepare the interconnected system for the integration of variable renewable energy (VRE) generation in a secure, reliable and economic manner. The study will analyse gaps in current regulations, existing infrastructure, institutional capacity and operating procedures. The study outcomes will include proposed changes to regulations, Grid Code and operating procedures to facilitate successful integration of VRE. It will also assess investments required to cope with increasing penetration of VRE generation. Part 2 will be focused on particular countries that are implementing VRE. This will be a separate independent study. As a result, the system is not N-1 compliant, does not have redundancy and as a result seriously constrains the exchange of power due to limited transmission interconnection capacity within SAPP, impacting and severely constraining both regional short-term/spot and longer-term/bilateral markets. Indeed, a readily accessible, reliable, and interconnected transmission system, with adequate redundancy, is a fundamental enabler to further development, expansion, and operation of a smoothly functioning regional electricity market in SAPP, thereby enabling development of robust competitive markets including underlying bilateral contracts market between its various member countries. Accordingly, SAPP has identified a number of regional transmission projects necessary to alleviate transmission congestion, improve accessibility to the SAPP network, create transmission corridors, and improve overall system reliability. Among others, these include high priority cross-border transmission interconnection projects, such as Central Transmission Corridor (CTC) Transmission Project, Zimbabwe-Zambia-Botswana-Namibia (ZIZABONA) Transmission Project, Mozambique-Zimbabwe-South Africa (MOZISA) Transmission Project, and Botswana-South Africa (BOSA) Transmission Project. Furthermore, SAPP is yet to interconnect three member countries, namely Angola, Malawi and Tanzania and the following transmission projects have been identified for this purpose: Angola-Namibia Interconnection Project, Mozambique–Malawi Interconnection project, and Zambia-Tanzania Interconnection project. Key underlying factors for insufficient transmission infrastructure leading to limited regional power trade. Financing these projects on and off-balance sheet of the countries has been a challenge as most SAPP utilities are not in a financial position to do so due to various reasons (including lack of bankable balance sheets). In addition, the identified transmission projects may not necessarily be required by the respective countries where the lines would transit, but are needed mainly for regional transactions as opposed to national requirements. The strategy that has traditionally been followed to date in order to implement these projects has been the use of sovereign borrowings and/or project finance structures. Latter approach requires that the financing be anchored through future cash flows that are generated from the project through wheeling revenues and would require wheeling agreements to be in place and the associated risks optimally shared among the transmission facility owners or operators, investors, and buyers and sellers involved in the transactions. A common challenge and one of the main underlying causes of delayed implementation of these projects has been the difficulty in arranging financing. The balance sheets of the national utilities are overcommitted on other national imperatives. In addition, almost every country in the region finds itself constrained from accessing new long-term public-sector debt. As a result, countries are constrained in providing sovereign guarantees to backstop such new projects or public-sector loans to fund their portion of a cross-border transmission projects. Finally, it is difficult to mobilize financing for these projects on a limited recourse basis due to the absence of long term anchor transactions/contracts that can commit to the required revenue flows for loan repayments and operational costs for these transmission projects. This is despite the fact that there are a number of transactions (bilateral and spot market trades) that are currently failing to be executed /traded as a result of transmission constraints; a sign that once the lines are put in place the likelihood of them failing to be utilized would be slim. Context behind establishing a regional transmission infrastructure financing mechanism/facility. In its three-year strategic plan (2017-2019), SAPP has agreed to explore the possibility of establishing a funding mechanism/guarantee facility to assist in the implementation of regional transmission projects in the SADC region. The World Bank, through the Program for Advancing Regional/Transformational Energy Projects (SAPP AREP Program) will finance the further development of this proposal from its current concept stage into an eventual establishment of the SAPP Transmission Infrastructure Funding Mechanism/Facility. Objectives of the consultancy assignment The objective of the proposed consultancy assignment is to help SAPP develop a financing mechanism/guarantee facility as appropriate, which leads to accelerated development of key regional transmission projects through the support of a regional entity. The key output of the consultancy assignment is the development of a conceptual framework and establishment of such a regional facility with a structure approved and mandated by SAPP and agreed to by all other key stakeholders. Such a facility should be structured to access funding/support from sources identified by the consultants, taking into account the regional and national constraints, and kick-start the development of key regional transmission projects. Required Qualifications and Experience The Consultant shall be a qualified, internationally recognized firm with at least 15 years general and specific experience in similar projects. This shall involve at least 2 or more similar assignments executed/under execution by the firm, including at least 1 similar assignment in developing countries. The firm should be able to field registered highly experienced multinational team, covering at a minimum, the following key experts: Senior Financial Advisor – Team Leader; Power Transmission and Trade Expert and Legal Expert. The SAPP now invites eligible consulting firms (“Consultants”) to indicate their interest in providing the Services. Interested Consultants should provide information demonstrating that they have the required qualifications and relevant experience to perform the Services. The shortlisting criteria are: • Evidence of company registration • Relevant experience • Technical and managerial capacity – including an organogram or narrative • Cost of assignments undertaken • The available experts with experience and qualifications in similar assignments.
